End User License Agreement
Version 2026-11-03.3. Last updated: November 3, 2026.
1. What this agreement covers
This End User License Agreement ("EULA") is an agreement between you and Universal Network Development LLC, doing business as U.N.D Industries ("UND," "we," "us," "our"). It covers SAI's software on both sides:
- The SAI web app, which runs in your web browser at talktosai.com; and
- The SAI desktop app, which you download and install on a computer, together with its updates and any AI models or other files it installs (together with the web app, "the Software").
This EULA is part of the Terms of Service and works together with them and with the Privacy Policy. If this EULA and the Terms of Service say different things about your license to the Software, this EULA controls; on everything else, the Terms of Service control. Words defined in the Terms of Service mean the same here.
2. Agreeing to this EULA
You agree to this EULA when you tick the box agreeing to the Terms of Service and this EULA (when you sign in, sign up, or are asked again after a change), when you install the desktop app, or when you use the Software. If you do not agree, do not install or use the Software. When this EULA changes in a way that matters, SAI shows you the new version and asks you to agree before you keep using it, and we keep a record of each version you agreed to and when.
3. The license we give you
While you follow the Terms of Service and this EULA, and while your account is in good standing, we give you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to use the Software for your own personal use, or for your organization's internal use if you accepted for it:
- Web app: to use it in a supported web browser through your own SAI account.
- Desktop app: to install and run it on computers you own or control, for use by you. Your membership may limit how many computers you can use it on at once.
Features that need an account, a membership or SAI's servers work only while you have them. Access to SAI's servers and memberships is covered by the Terms of Service.
4. The Software is licensed, not sold
The Software, including its code, models, prompts, design, look and feel, and the SAI and U.N.D Industries names and marks, belongs to UND or its licensors. We license the Software to you; we do not sell it to you. Nothing in this EULA, in a membership or in any purchase gives you ownership of, or any stake in, the Software, SAI, UND or any of their assets, intellectual property, revenue or profits (see "Founding members, and what every membership is" in the Terms of Service).
5. What you may not do
Unless a law says you may despite this limit, you may not, and may not help anyone else to:
- copy the Software, except as needed to install and run it under Section 3 and to keep one backup copy of the desktop app's installer;
- modify, translate or make derivative works of the Software, or reverse engineer, decompile or disassemble it;
- extract, copy or reuse the Software's models, model files, prompts or settings, or use the Software or its output to build, train or improve another AI model or a competing product;
- get around a license check, a sign-in, a usage limit, a safety check or any other protection in the Software;
- rent, lend, sell, resell, sublicense, share or transfer the Software, your account or your license key;
- remove or change any notice of ownership, license or attribution in the Software; or
- use the Software in breach of the Acceptable Use Policy in the Terms of Service, or of any export, sanctions or other law.
6. License keys and your account
The desktop app may check your membership through your SAI account or a license key. A license key is personal to you: keep it private and do not share it. We may turn off a license key, or end your access to the Software, if a key is shared, sold, published or misused, or as the Terms of Service allow.
7. Open-source parts and third-party models
The Software includes open-source software and AI models that their owners license under their own terms (for example, the Apache License 2.0 and the Llama Community License). Those licenses govern those parts, and nothing in this EULA limits the rights they give you. The models behind SAI and their licenses are listed in Section 12 (Services we rely on) of the Terms of Service. Where your membership includes models made by other companies, those companies' usage policies also apply to what you send them, and what SAI sends them is described in Section 4 of the Privacy Policy.
8. Updates
We may update the Software, and the desktop app may download and install updates by itself or ask you to install them. An update may add, change or remove features. Updates are part of the Software and are covered by this EULA. Some features may work only on the latest version.
9. Your device and the data on it
The desktop app may keep your conversations, settings and AI model files on your computer, and the web app may keep some of them in your browser, as the Privacy Policy explains. You are responsible for the security of your own devices and for keeping your own copies of anything important. Uninstalling the desktop app, or clearing your browser's storage, may delete what is stored there.
10. What SAI tells you
SAI is an AI. Its replies can be wrong, incomplete or out of date, and they are not professional advice (medical, legal, financial or any other kind). Section 2 of the Terms of Service applies to everything the Software says or does.
11. No warranties and limits on our liability
The Software is provided "as is" and "as available." The sections of the Terms of Service called "No warranties," "Limitation of liability" and "Indemnity" apply to the Software in full, as if they were written here.
12. When this license ends
This license ends by itself if you break this EULA or the Terms of Service, or when your account or your access to SAI ends. You can end it at any time by uninstalling the desktop app and no longer using the web app. When it ends, you must stop using the Software and uninstall the desktop app. Sections 4, 5, 7, 11, 12 and 13 continue after it ends.
13. Law, disputes and changes
The section of the Terms of Service called "Disputes and governing law" applies to this EULA. The Software may be subject to United States export laws, and you agree not to export or use it where those laws do not allow it. We may change this EULA as Section 19 of the Terms of Service describes. Every version we publish stays on our legal page, with the date it applied.
